Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Routiva, a routing, dispatching, billing, payments, and customer-management platform for waste-hauling businesses (the "Service"). The Service is provided by Focus Time Solutions, LLC, doing business as Routiva ("Focus Time Solutions," "Routiva," "we," "us," or "our"). By accessing or using the Service, or by signing a Software License Agreement or order form that references these Terms, you ("you" or "Customer") agree to be bound by these Terms. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

1. The Service

Routiva provides software-as-a-service tools for waste haulers to manage customer accounts, plan and dispatch service routes, generate invoices and service agreements, accept customer payments through integrated third-party payment processors, and synchronize with third-party accounting systems. Specific features and availability may change over time.

2. Account registration and users

You must create an account to use the Service. You agree to provide accurate, current, and complete information, to keep login credentials confidential, and to be responsible for all activity under your account and the accounts of users you add. You are responsible for your users' compliance with these Terms. Notify us promptly at prestonw@focustimesolutions.com if you suspect unauthorized use of your account.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law, regulation, or card-network or ACH rule;
  • Attempt to gain unauthorized access to other accounts, our systems, or data not belonging to you;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse-engineer, scrape, or copy any portion of the Service except as expressly permitted;
  • Upload or transmit malicious code, or content that infringes or violates the rights of others; or
  • Use the Service or payment functionality for any business or transaction prohibited by us or by our payment-processor partners (see Section 6).

4. Your data and our intellectual property

Your data. You retain ownership of the data you and your users input into the Service ("Customer Data"), including your end-customer records, route information, invoices, agreements, and payment metadata. You grant Focus Time Solutions a limited, worldwide license to host, process, transmit, and display Customer Data solely to provide and improve the Service and as permitted by these Terms. As between you and us, you are the controller of your end-customer records and are responsible for having the rights and notices needed to provide that data to us and to authorize the communications you send through the Service. Our handling of personal information is described in our Privacy Policy.

Our intellectual property. The Service — including Routiva, its software, source code, designs, user interfaces, documentation, and the "Routiva" and "Focus Time Solutions" names and logos — is owned by Focus Time Solutions, LLC and its licensors and is protected by intellectual-property laws. These Terms grant you only a limited, non-exclusive, non-transferable right to access and use the Service during your subscription; no ownership of, or other rights in, the Service or our intellectual property is transferred to you. You may not copy, modify, distribute, sell, or create derivative works of the Service except as expressly permitted. Any feedback you provide may be used by us without obligation to you.

5. Third-party services

Routiva integrates with third-party services that you authorize, including, among others, Google Maps Platform, QuickBooks Online, and our PCI-DSS-compliant payment-processor partner(s). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the availability, errors, or data practices of third-party services.

6. Payment processing and sub-merchant terms

Routiva is a software platform, not a bank, money transmitter, or payment processor. Payment acceptance is provided by our third-party payment-processor partners. To accept customer payments through the Service, you must enroll for payment acceptance and, as part of that enrollment, you agree to the applicable processor's merchant or sub-merchant terms, which apply directly between you and the processor in addition to these Terms. You authorize Focus Time Solutions to submit your business and ownership information to the processor for onboarding and underwriting.

  • Merchant of record. For payments you collect from your own end-customers, you are the merchant of record. Routiva provides the software and the customer payment portal; settlement, payout timing, reserves, holds, and account underwriting are determined by the processor and its bank partners.
  • Refunds, chargebacks, and disputes. You are responsible for your end-customer transactions, including issuing refunds and resolving disputes and chargebacks, and for any associated fees, reversals, and losses. You authorize Focus Time Solutions and the processor to debit or offset your account, payouts, or designated bank account for refunds, chargebacks, fees, reserves, and related amounts.
  • Compliance. You agree to provide accurate business information, to comply with applicable card-network rules, NACHA/ACH rules, and law, and not to use payment functionality for prohibited or high-risk activities identified by us or the processor. We or the processor may suspend or terminate payment acceptance for risk, compliance, or rule-violation reasons.
  • Authorization for recurring/autopay. Where an end-customer enrolls in autopay or recurring billing, you are responsible for obtaining and retaining the customer's authorization for those charges in accordance with applicable rules and law.

7. Subscription and fees

Software license fees, billing cadence, and payment terms are set in the Software License Agreement or order form between you and Focus Time Solutions (generally a monthly subscription tiered by fleet size, month-to-month with 30 days' notice to cancel unless otherwise agreed). Payment-processing fees are separate and as disclosed at enrollment. Unless otherwise stated, fees are non-refundable. We may revise pricing with at least 30 days' written notice effective for the next billing cycle.

8. Service availability

We aim to keep the Service available but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may perform maintenance, upgrade systems, or modify features at any time.

9. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, FOCUS TIME SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ROUTE, BILLING, OR PAYMENT RESULTS WILL BE FREE OF ERROR.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FOCUS TIME SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Focus Time Solutions, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Data, your end-customer transactions, refunds, or chargebacks, or your violation of these Terms or applicable law.

12. Term, termination, and offboarding

You may stop using the Service in accordance with your Software License Agreement. We may suspend or terminate access if you materially violate these Terms, create risk or compliance exposure, or fail to pay fees. On termination, you may request an export of your Customer Data for a reasonable period, after which we will retain or delete it in accordance with our Privacy Policy. Termination does not relieve you of responsibility for transactions, refunds, chargebacks, or fees incurred before or after offboarding.

13. Changes to these Terms

We may modify these Terms from time to time. Material changes will be announced through the Service or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to the personal jurisdiction and venue of those courts, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. If a signed Software License Agreement between you and Focus Time Solutions specifies a different dispute-resolution process, that agreement controls for the parties to it.

15. General

Electronic communications and records. You consent to receive communications and records from us electronically (through the Service or by email), and you agree that electronic agreements, notices, and signatures satisfy any legal requirement that such communications be in writing.

Entire agreement; order of precedence. These Terms, together with any Software License Agreement or order form you sign and our Privacy Policy, constitute the entire agreement between you and Focus Time Solutions regarding the Service and supersede prior agreements on that subject. If there is a conflict, a signed Software License Agreement controls over these Terms.

Assignment. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, financing, or sale of assets.

Severability; no waiver. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force, and our failure to enforce any provision is not a waiver of our right to do so later.

Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control.
